Digital Product License Agreement

This License Agreement ("Agreement") is a legal contract between you ("Licensee," "you," or "your") and CRTV BLK ("Licensor," "we," "us," or "our") governing your use of digital design assets including Figma templates, design effects, UI kits, and related materials ("Products").

By purchasing, downloading, or using any Product, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not purchase or use the Products.

1. Definitions

1. "End Product" means a final work created by you or your client that incorporates the Product, customized and combined with other design elements, where the Product is not the primary value and cannot be extracted for reuse.

2. "Client Work" means End Products created on behalf of a third-party client as part of a paid design service.

3. "Single User" means one individual person with a unique Figma account, using the Product on one computer or device at a time.

4. "Team" means a group of individuals within one organization or company who collaborate using shared access to the Product.

5. "Redistribute" means to share, sublicense, resell, lease, or otherwise make available the Product (or substantial portions thereof) in a manner that allows third parties to extract, download, or use it as a standalone asset.

2. License Types

We offer two license types. Your purchase receipt will indicate which license you have acquired.

Personal License

• 1 user, 1 device

• Unlimited personal projects

• Up to 5 clients per year

• $25,000/year revenue cap

• Up to 10,000 impressions (digital ads/social)

• Up to 500 print copies

• Up to 100,000 video views

• Products for resale not permitted

Commercial License

• Up to 3 team members

• Unlimited personal projects

• Unlimited clients

• No revenue cap

• Unlimited impressions (digital ads/social)

• Unlimited print copies

• Unlimited video views

• Products for resale not permitted

3. Standard License Terms

The Standard License grants you a non-exclusive, non-transferable right to use the Product under the following conditions:

3.1 Permitted Uses

• Single-User Access: Use on one (1) computer or device at a time, linked to one (1) Figma account

• Personal Projects: Unlimited End Products for your own personal use, portfolio, or non-commercial purposes

• Limited Client Work: Create End Products for up to five (5) unique clients per calendar year

• Social Media & Digital Advertising: End Products may be used in digital ads or social posts with up to 100,000 total impressions

• Print Materials: End Products may be reproduced in up to 5,000 physical copies (e.g., business cards, flyers, packaging)

• Video & Broadcast: End Products may appear in video content with up to 100,000 total views

• Website & App Use: End Products may be incorporated into one (1) website or application that you own

3.2 Standard License Restrictions

• You may NOT share, transfer, or grant access to the Product files to any third party, including clients

• You may NOT use the Product in projects generating more than $25,000 USD in annual revenue attributable to the End Product

• You may NOT create End Products intended for resale, including but not limited to templates, themes, design kits, merchandise, or any product where the End Product itself is sold to third parties

• You may NOT use the Product on behalf of a company or organization with more than one employee

4. Commercial License Terms

The Commercial License grants you expanded, non-exclusive, non-transferable rights to use the Product for professional and commercial purposes under the following conditions:

4.1 Permitted Uses

• Team Access: Up to three (3) team members within one organization may access and use the Product

• Unlimited Client Work: Create End Products for unlimited clients with no revenue restrictions

• Unlimited Distribution: No limits on impressions, copies, views, or reach for End Products

• Multi-Platform Use: End Products may be used across unlimited websites, applications, and platforms owned by the Licensee or their clients

• Broadcast & Advertising: Unlimited use in television, streaming, film, and advertising campaigns

4.2 Commercial License Restrictions

• No Resale: You may NOT create End Products intended for resale, including but not limited to templates, themes, design kits, merchandise, or any product where the End Product itself is sold to third parties

• You may NOT redistribute the Product in its original or minimally modified form as a competing design asset or template

• You may NOT grant sublicenses or allow third parties outside your organization to access the source files

• Organizations exceeding 10 users must purchase additional Commercial Licenses or contact us for enterprise pricing

5. Universal Restrictions (All Licenses)

Regardless of license type, the following uses are strictly prohibited:

• No Redistribution: You may not share, sell, lease, sublicense, or make available the Product (in whole or substantial part) in any format that allows extraction or standalone use by third parties

• No Resale of End Products: You may not sell, license, or distribute End Products where the Product constitutes the primary value or where purchasers could extract or reuse the Product. This includes templates, themes, UI kits, design systems, merchandise, print-on-demand items, or any goods sold to end consumers or businesses

• No Stock/Marketplace Resale: You may not upload the Product or End Products incorporating the Product to any stock asset marketplace, template marketplace, or design resource platform (e.g., Creative Market, Envato, Canva, Figma Community, Gumroad, Etsy) for distribution or sale

• No "On-Demand" Products: You may not use the Product in automated or on-demand services where the primary value is the Product itself (e.g., print-on-demand templates, logo generators, AI design tools, customizable merchandise)

• No Trademark Registration: You may not register the Product or any unmodified portion as a trademark, service mark, or logo

• No Unlawful or Harmful Use: You may not use the Product in connection with content that is defamatory, obscene, promotes hate or violence, or is otherwise unlawful

• No NFT/Blockchain Use: You may not use the Product to create NFTs, blockchain-based assets, or cryptocurrency-related tokens where the Product is the primary asset being sold or traded

• No AI/ML Training: You may not use the Product to train, develop, or improve any artificial intelligence, machine learning model, or generative AI system

6. Ownership & Intellectual Property

The Product is licensed, not sold. We retain all ownership rights, copyright, and intellectual property rights in the Product. This license grants you only the rights expressly stated herein.

You retain full ownership of the original creative work you contribute to End Products. The Licensor makes no claim to End Products that lawfully incorporate the Product under this Agreement.

7. License Upgrades

If your usage exceeds the scope of your current license, you must upgrade to the appropriate license tier before continued use. Standard License holders may upgrade to a Commercial License by paying the difference in price plus any applicable upgrade fee. Contact us at crtvblk@gmail.com for upgrade inquiries.

8. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Product and destroy all copies in your possession.

End Products lawfully created before termination may continue to be used and displayed, but no new End Products may be created using the Product.

9. Warranty Disclaimer

THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCT WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

10. Limitation of Liability

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PRODUCT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE LICENSE.

11. Refund Policy

Due to the digital nature of the Products, all sales are final. We may offer refunds at our sole discretion for technical issues that prevent use of the Product and cannot be resolved through support. Refund requests must be submitted within fourteen (14) days of purchase.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of California, USA, without regard to conflict of law principles.

13. Changes to This Agreement

We reserve the right to modify this Agreement at any time. Changes will be effective upon posting to our website. Your continued use of Products after changes constitutes acceptance of the modified terms. The license terms in effect at the time of your purchase govern your use of that specific Product.
